Director - Corporate Development

Purpose:

The Director - Corporate Development is responsible for leading the company’s day-to-day acquisition, divestiture, and affiliation activity. This role provides senior level leadership across the full transaction lifecycle – from target identification, relationship building, due diligence, negotiation, execution, and post-close integration.

Serving as a trusted advisor to the EVP, Strategy and Corporate Development as well as broader Executive Leadership Team, the role brings deep acquisition transaction expertise, financial rigor, and market and industry knowledge to support a disciplined corporate development process and long-term shareholder value creation.

Expected to travel 20% of the time.

Responsibilities:

• Partner with the EVP, Strategy and Corporate Development and Executive Leadership Team to identify, evaluate, and prioritize acquisition and affiliation opportunities aligned with corporate and financial strategy.

• Provide strategic insight on metals industry, including consolidation trends, integration opportunities, capacity considerations, and competitive positioning.

• Lead cross functional due diligence process for acquisition and affiliation transactions, as well as identification and quantification of synergies, financial and operational risks.

• Provide oversight and direction for broader due diligence activities, including organizational capability, cultural considerations, and integration readiness.

• Oversee development and review of driver based financial models, valuations, and comprehensive investment business cases.

• Ensure corporate development transactions meet return on investment thresholds, risk tolerance, and strategic objectives consistent with capital allocation guidelines.

• Lead cross functional transaction execution teams in close coordination with functional leadership and external advisors to drive transactions to close.

• Support the CFO on transaction funding strategy, financing structures, and execution.

• Provide integration strategy and planning recommendations to the EVP, Strategy and Corporate Development and Executive Leadership Team.

• Assign and manage post close integration activities, with a focus on timely realization of synergies.

• Deepen relationships with third party advisors, including investment banks, accounting firms, and legal counsel.

• Support the EVP, Strategy and Corporate Development with other strategic and ad hoc initiatives.

Minimum Qualifications:

• Bachelor’s degree in business, finance, accounting, or a related field with at least 10 years of experience in mergers and acquisitions, corporate development, legal, or finance. 

Preferred Qualifications:

• Master’s degree in business, finance, accounting, or a related field with at least 8 years of experience in mergers and acquisitions.
