Purpose
The Contracts & Compliance Manager will serve as the primary point of coordination between Legal, Commercial, Supply Chain, and Operations for all contract lifecycle and compliance activities. The role blends commercial contracting and U.S. Government (USG) contract compliance, with responsibility for contract administration, regulatory compliance, and customer-facing certifications.
This position supports Metallus’ growing defense and commercial business by ensuring contracts are negotiated appropriately, customer requirements and compliance obligations are understood and executed, and contract performance is actively managed.
Responsibilities

Commercial Contracts Management

Support the Law Department with review, drafting, and negotiation of commercial agreements, including:

Customer terms and conditions
-
Supply agreements and long-term agreements (LTAs)
-
Non-disclosure agreements (NDAs)
-

Route and coordinate internal legal review of customer contract terms and exceptions
-
Maintain contract records and NDA tracking (including expirations and renewal needs)
-
Partner with Sales and Account Management to resolve contract issues and enable order execution
-
Standardize contract intake, review, and approval workflows
-

USG Contracting & FAR/DFARS Compliance
-
Review solicitations, contracts, and purchase orders for applicable FAR/DFARS clauses and compliance obligations
-
Identify required actions, risks, and exceptions (e.g., SBA subcontracting plans, DPAS, Buy American, inspection clauses)

Coordinate and document flow-down requirements to suppliers and subcontractors

Support development and maintenance of internal job aids, clause matrices, and templates

Advise business teams on contract structure (commercial vs. non-commercial, negotiated vs. fixed price) and compliance impacts

Monitor evolving regulatory requirements (e.g., NDAA changes, CMMC updates) and drive implementation

Contract Administration (Prime and Subcontract)

Serve as contract administrator for USG prime contracts and key customer agreements
-
Maintain official contract files and ensure all required documentation is complete and current

Track contract deliverables, milestones, and reporting obligations
-
Coordinate contract communications with customers, primes, and contracting officers
-
Support change management, notices, and compliance documentation (e.g., delays, waivers, modifications)

Partner with Program Management and Operations to ensure execution aligns with contractual requirements

Internal guidance reflects that contract administration includes maintaining contract files, reviewing clauses, and ensuring compliance with terms and required notices.

Compliance & Customer Certification Support

Manage customer and regulatory compliance requests, including:
o USMCA / Free Trade Agreement (FTA) certifications
o Environmental, sustainability, and code of conduct statements
o Supplier questionnaires and audits

Support ITAR, export controls, and CMMC compliance coordination with internal stakeholders

Manage small business subcontracting plan compliance and reporting requirements where applicable

Serve as a central resource for cross-functional compliance inquiries

Process Development & Continuous Improvement

Build and improve scalable processes for:
o Contract review and approval
o FAR/DFARS clause interpretation and tracking
o Compliance documentation and audit readiness

Identify gaps in current contract/compliance processes and implement solutions

Support internal training on government contracting and commercial contracting best practices

Drive consistency in contract management across business units

Key Skills
- Working knowledge of FAR/DFARS requirements and clause interpretation
- Ability to translate legal/compliance requirements into business actions
- Comfortable operating in a fast-paced, evolving regulatory environment
- Working knowledge of contract lifecycle management processes
- Detail-oriented with strong documentation discipline
- Experience coordinating cross-functional stakeholders (Legal, Sales, Supply Chain, Operations)
- Strong contract analysis and issue-spotting skills
- Effective communicator with both legal and commercial teams
- Familiarity with ITAR / export controls, CMMC or Cybersecurity compliance frameworks, and SBA subcontracting plans and reporting (eSRS)
Minimum Qualifications

Bachelor's Degree in Business, Supply Chain, Legal Studies, or related degree with at least 2 years of experience in contract management, government contracting (DoD or Federal supply chain preferred), contract administration, or compliance.
Preferred Qualifications

Bachelor's Degree in Business, Supply Chain, Legal Studies, or related degree with at least 7 years of experience in contract management, government contracting (DoD or Federal supply chain preferred), contract administration, or compliance.

Master's Degree in Business, Supply Chain, Legal Studies, or related degree with at least 5 years of experience in contract management, government contracting (DoD or Federal supply chain preferred), contract administration, supporting defense or aerospace programs, or compliance.

Paralegal certification or Juris Doctor
